Contracts Manager

Basic Function:
• The Contracts Manager will be responsible for developing, implementing and subsequently managing the contracts & IP function to ensure all projects agreements adhere to sponsor requirements, Company guidelines and timelines as well as to all other relevant regulations within the ADNOC Group.
• The post holder will lead on sponsored research contract negotiations on behalf the OSR and will be supported by a dedicated IP Advisor.
• This Contracts Manager will work directly with the Director of the Office of Sponsored Research to ensure proper procedures and policies are in place to maintain compliance and efficiency of contractual activities. This is particularly relevant as the Office of Sponsored Research has only recently been established.
Worked Performed:
• Responsible for overseeing the development and /or review of contract or solicitation terms and conditions to ensure contract, grant, and other agreement terms are appropriate for the Company as a research institution of higher education.
• Plans and carries out recurring work using established procedures, conferring with the Director - Sponsored Research as necessary on technical problems.
• Responsible for negotiating research agreements, research-driven collaboration agreements, commercial contracts, non-disclosure agreements, consultancy agreements and material transfer agreements.
• Responsible for ensuring award terms and conditions align with University policies and requirements, and national/international regulations, as applicable
• Work within specific guidelines and policies of the Company and exercise considerable authority, responsibility and control in line with delegated authorities.
• Evaluates or monitors contract performance to determine necessity for amendments, extensions and termination of contracts, and compliance to contractual obligations.
• Presents factual information; composes memoranda, minutes and reports; and drafts contract provisions and supporting documents.
• Collaborates with the members in the Office of Sponsored Research in strategic planning to improve the efficiency of research grants management within the Company.
• Consults with IP Advisor on intellectual property issues, as needed.
• Work accomplishments are subject to Director of the Office of Sponsored Research and Sr. VP Research & Development’s review
• Performs related responsibilities as required.
• Reviews and approves requests for modifications to terms and conditions on contract and grant documents as required.
• Manages and coordinates acceptance of awards containing non-standard terms.
• Develops solicitation or reviews of contract terms and conditions.
• Leads compliance tracking in all areas of performance required by the contracts and vendor agreements
• Maintains contact with sponsors to facilitate changes/corrections to contract documents, as appropriate.
• Identifies amendments to language or terms and negotiates with the best interest of the Company.
• Interacts regularly with and provides high quality customer service to faculty members conducting sponsored research.
• Works with colleagues/team members to jointly solve contractual questions and challenges in their daily work.
• Communicates with Company's on a regular basis issues regarding contractual terms and conditions.
• Assists Company's with non-financial report submissions, as necessary.
• Assists in transferring awards out of the university, if necessary.
• Communicates with Company's on any and all contractual issues regarding research grants and contracts.
• Works with the OSR team to refine processes.
• Assists with training for Company's and Staff.
• Engages in strategic planning to develop infrastructure to support the growth of research and creative activities within the Company.

• Ability to maintain high level of confidentiality with sensitive information
• Bachelors in Law/ JD and at least 6 years of related Higher Education experience drafting and reviewing contracts.
• Legal experience in transactional matters with a focus on negotiating contract language.
• Experience with multi-party and complex contract/subcontract administration.
• Must be able to work in a startup environment and have a broad knowledge of sponsored research agreements.
